Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and WebCatalog, Inc. ("WebCatalog," "Company," "we," "us," or "our") regarding your access to and use of WebCatalog's services, including its mobile, desktop, and web applications, as well as any related websites, media, or channels (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must immediately stop using the Services.

We may update these Terms from time to time. The latest version will be posted with a “Last updated” date. Your continued use of the Services after any changes constitutes acceptance of the updated Terms. Please review them periodically.

1. Intellectual Property Rights

Unless otherwise specified, all content within the Services—including source code, databases, software, website designs, text, images, videos, trademarks, and logos (collectively, "Content")—is owned or licensed by WebCatalog and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use. This license does not permit resale, redistribution, or provision of the Services as part of another commercial offering. Any unauthorized use, reproduction, or distribution of the Content is prohibited.

2. User Responsibilities

By using the Services, you agree that:

You have the legal capacity to enter into this agreement.
You will not use the Services for any unlawful, unauthorized, or fraudulent activities.
You will not use automated methods (bots, scripts, etc.) to access the Services.
You will not violate the rights of others, including intellectual property and privacy rights.

We reserve the right to suspend or terminate your account for any violation of these Terms.

3. Fees and Payments

Except where required by law, payments are non-refundable.
Subscription cancellations take effect at the end of the current billing period.

4. Submitted Content

You may submit data to the Services for processing. These submissions remain private and are not shared with other users without your consent. WebCatalog does not claim ownership over your submitted content and processes your data only as necessary to operate and improve the Services, in accordance with our Privacy Policy.

5. Service Modifications and Interruptions

We may update, modify, or discontinue any aspect of the Services at any time without notice.

We are not liable for interruptions, technical issues, or service unavailability.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WebCatalog AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

7. Indemnification

You agree to defend, indemnify, and hold harmless WebCatalog, its affiliates, employees, and agents from any claims, damages, liabilities, or expenses arising from:

Your use of the Services,
Your violation of these Terms, or
Your infringement of any third-party rights.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules, conducted in San Francisco County, California, except that either party may seek injunctive relief in court.

9. Changes to These Terms

We reserve the right to update or modify these Terms at any time. The latest version will always be posted with a "Last updated" date. Your continued use of the Services constitutes acceptance of any changes.
