Agreement To Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and WebCatalog, Inc. ("WebCatalog," "Company," "we," "us," or "our"), concerning your access to and use of the WebCatalog services, including the mobile, desktop, and web app, as well as any other related media forms, media channels, websites, or mobile applications (collectively, the “App”). By accessing the App, you agree that you have read, understood, and agree to be bound by these Terms of Service. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE APP AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the App from time to time are incorporated herein by reference. We reserve the right to modify these Terms of Service at any time for any reason. We will notify you of changes by updating the "Last updated" date above, and you waive any right to specific notice of such changes. It is your responsibility to review these Terms periodically. Your continued use of the App after changes have been posted constitutes acceptance of the revised Terms.

The App is not intended for distribution or use in any jurisdiction or country where such distribution or use would violate laws or regulations or require registration. Those accessing the App from other locations do so on their own initiative and are responsible for compliance with local laws.

Intellectual Property Rights

Unless otherwise stated, the App and its content, including source code, databases, functionality, software, website design, text, graphics, audio, and video (collectively, the “Content”), as well as trademarks, service marks, and logos (the “Marks”), are owned or licensed by us and are protected by intellectual property laws. The Content and Marks are provided "AS IS" for personal use only. No part of the App, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, or exploited for any commercial purpose without prior written permission.

You are granted a limited license to use the App for personal, non-commercial purposes, provided you comply with these Terms. We reserve all rights not expressly granted.

User Representations

By using the App, you represent and warrant that:

You have the legal capacity and agree to comply with these Terms;
You will not access the App via automated or non-human means (bots, scripts, etc.);
You will not use the App for any illegal or unauthorized purpose;
Your use of the App will not violate any laws or regulations.

We reserve the right to suspend or terminate accounts containing false, inaccurate, or incomplete information.

Fees and Payment

Some services may require a fee. You agree to provide accurate payment information and update it as needed. Sales tax may be added to purchases. Prices may change at any time. All charges are due immediately, and you authorize us to charge your selected payment method. We may correct pricing errors even after requesting or receiving payment and may refuse any order.

Subscription Cancellation

You can cancel your subscription at any time, effective at the end of the current paid term. We do not offer refunds. If unsatisfied, contact us at [email protected].

User-Generated Content

We may provide opportunities for you to create, submit, post, display, transmit, publish, or share content (“Contributions”). Contributions that are publicly shared may be accessible by other users. Private Contributions remain private.

By submitting Contributions, you represent and warrant that:

You own or have necessary rights to your Contributions;
Your Contributions do not infringe on any third-party rights;
Your Contributions do not violate any laws or regulations;
Your Contributions do not include harmful, offensive, or unlawful content.

We are not responsible for user Contributions and reserve the right to remove any Contribution that violates these Terms.

Contribution License

We do not claim ownership of your Contributions. You retain all ownership rights. However, by submitting Contributions, you grant us a license to use and display public Contributions within the App. Private Contributions remain confidential.

Feedback provided to WebCatalog is considered non-confidential, and we may use it freely.

WebCatalog Responsibility

Using the App in certain circumstances (e.g., while driving) may pose risks. Please use the App responsibly.

Submissions

Any ideas, suggestions, or feedback submitted to us (“Submissions”) become our exclusive property. We may use them for any purpose without compensation.

App Management

We reserve the right to:

Monitor the App for violations of these Terms;
Take legal action against violators;
Restrict or disable access to content or users;
Remove excessive or burdensome content;
Manage the App to protect rights and ensure functionality.

Termination

We may suspend or terminate your account for violating these Terms. If terminated, you may not register a new account. Legal action may be taken as needed.

Modifications and Interruptions

We may modify, suspend, or discontinue the App at any time without notice. While we strive for reliability, we are not liable for downtime or errors.

Governing Law

These Terms shall be governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules, except that either party may seek injunctive relief in court.

Dispute Resolution

Before arbitration, parties must attempt informal negotiations for 90 days. Disputes will be resolved through binding arbitration under the American Arbitration Association (AAA). Exceptions apply for intellectual property disputes, unauthorized use claims, and injunctive relief.

Corrections

We reserve the right to correct any errors, inaccuracies, or omissions in the App.

Disclaimer

The App is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied. We are not responsible for third-party content, user-generated content, or external links.

Limitation of Liability

We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid to us or $100, whichever is less.

Indemnification

You agree to indemnify and hold us harmless from claims arising from:

Your use of the App;
Your violation of these Terms;
Your infringement of third-party rights.

User Data

We maintain transmitted data but are not liable for data loss or corruption. You are responsible for backing up your data.

Electronic Communications, Transactions, and Signatures

You agree to electronic communications and transactions. These Terms satisfy legal requirements for written agreements.

Miscellaneous

These Terms constitute the entire agreement between you and WebCatalog. If any provision is found unlawful or unenforceable, it does not affect the validity of the remaining Terms. No joint venture, partnership, or employment relationship is created by these Terms.
